Terms of Service

These Terms of Service ("Terms") govern your access to and use of CosecScribe ("we", "us", "our"), including our website, mobile applications, and AI-powered transcription and meeting minutes service (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Who we are: CosecScribe is a transcription and formal minutes service designed for company secretaries, legal professionals, and corporate governance teams. We process your meeting audio to produce transcripts, summaries, and formatted minutes using AssemblyAI for transcription and DeepSeek for all other AI features.

1. Eligibility

You must be at least 16 years old to use the Service. The Service is intended for business and professional use. By using the Service, you represent that you have the legal capacity to enter into these Terms and that any information you provide is accurate and complete.

2. Accounts

  • You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
  • You must provide accurate and current information when creating your account.
  • You may not share your account credentials with others or allow multiple people to use a single account.
  • Notify us immediately at hello@cosecscribe.com if you believe your account has been compromised.
  • We may suspend or terminate your account if we believe you have violated these Terms or if your activity poses a risk to the Service or other users.

3. Acceptable use

You agree not to:

  • Use the Service to process audio or content that you do not have the right to transcribe, including audio recorded without the consent of participants where applicable law requires it.
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to access, tamper with, or disrupt the Service's infrastructure, including its servers, databases, or APIs.
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.
  • Resell, sublicense, or redistribute access to the Service without our written permission.
  • Use the Service to generate content that is defamatory, fraudulent, or infringes the intellectual property rights of others.
  • Introduce viruses, malware, or any other malicious code to the Service.
  • Use the Service in a manner that could damage, disable, overburden, or impair the Service.

You are solely responsible for the content you upload and the consequences of processing it through the Service. You must ensure you have the necessary rights and consents to process any audio you submit, including consent from meeting participants where required by law.

4. Your content & licences

Your ownership

You retain all ownership rights in the audio, transcripts, summaries, minutes, and other content you upload or generate through the Service ("Your Content"). We do not claim ownership of Your Content.

Licence to us

You grant us a limited, non-exclusive, non-transferable licence to process Your Content solely for the purpose of providing the Service to you — transcribing your audio, generating summaries and minutes, powering AI chat, and storing and displaying the results in your account. This licence ends when you delete Your Content or your account.

AI training

We do not use Your Content — your audio, transcripts, or minutes — to train any AI model. Our AI providers (AssemblyAI and DeepSeek) do not retain your data after processing and do not use it to train their models. Your audio is deleted from AssemblyAI's servers immediately after transcription completes.

Responsibility for content

You are responsible for ensuring that Your Content does not violate any law or the rights of any third party. You are responsible for obtaining any necessary consents from meeting participants before recording and transcribing a meeting.

5. AI features & accuracy

CosecScribe uses AI to transcribe audio, identify speakers, generate summaries and minutes, and answer questions about your transcripts. AI-generated content may contain errors, including misattributed speakers, inaccurate transcriptions, or incomplete minutes.

  • Review before relying. You must review all AI-generated transcripts and minutes for accuracy before relying on them in any legal, regulatory, or official capacity. CosecScribe is a productivity tool, not a substitute for professional judgment.
  • No legal advice. The Service does not provide legal advice. AI-generated summaries and minutes are based on the content of your audio and should be reviewed by a qualified professional.
  • Speaker identification. AI speaker identification is based on audio patterns and contextual clues. It may not always correctly identify speakers, especially when names are similar or audio quality is poor.
  • Templates. When you upload a minutes template, the Service attempts to follow its format. The output may not perfectly match your template and should be reviewed and edited as needed.

6. Meeting capture

CosecScribe can capture meetings on supported platforms (Zoom, Microsoft Teams, and Google Meet where available) using official platform APIs. When you use this feature:

  • Consent. You are responsible for complying with all applicable laws regarding recording and transcribing meetings, including obtaining consent from all participants where required. CosecScribe does not obtain consent on your behalf.
  • Platform compliance. You must comply with the terms of service of the meeting platform (Zoom, Microsoft, Google) in addition to these Terms.
  • Visibility. Where the capture appears as a participant in the meeting (for example, Zoom RTMS or a visible bot), it is your responsibility to inform participants that the meeting is being transcribed.
  • Audio deletion. Meeting audio is deleted from our transcription provider immediately after processing. We do not retain meeting audio.

7. Subscriptions & billing

Plans

CosecScribe offers subscription plans with different transcription allowances and features. Plan details and pricing are displayed in the app and on our website. We may change pricing and plan features upon reasonable notice.

Billing

  • Subscriptions are billed through our payment provider (Bachs for web payments, RevenueCat for in-app purchases) on a recurring basis (weekly, monthly, or yearly, depending on your plan).
  • Payments are processed by the payment provider under their terms. We do not store your card details.
  • Your subscription renews automatically at the end of each billing cycle unless you cancel before the renewal date.
  • You can cancel your subscription at any time through the app store or payment provider you used to subscribe. Cancellation takes effect at the end of the current billing period.
  • Transcription allowances reset at the start of each billing cycle. Unused minutes do not roll over.

Refunds

Refunds are governed by the terms of the app store or payment provider through which you purchased your subscription. We do not issue refunds directly except where required by law. If you believe you have been charged in error, contact us athello@cosecscribe.com.

Price changes

We may change subscription prices upon reasonable notice. Price changes take effect at the start of your next billing cycle following the notice. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

8. Enterprise terms

For enterprise subscribers, the following additional terms apply:

  • Organisation setup. Enterprise subscription is an upgrade to an existing account. After successful payment, you provide an organisation name and may invite up to 10 members.
  • Roles. Organisation owners manage member roles (viewer, contributor, reviewer, manager). Members access organisation data according to their role.
  • Minutes review workflow. Drafts are visible only to the drafter. Pending reviews are visible to the assigned reviewer. Approved minutes are visible to participants. Bounced-back minutes are visible to the drafter for revision.
  • Data Processing Agreement. Enterprise clients may request a Data Processing Agreement specifying data handling, retention, deletion, subprocessor disclosures, and breach-notification timelines.
  • Organisation data. Organisation owners may request deletion of all organisation data at any time. When an enterprise subscription ends, organisation data is retained for 30 days before deletion, unless the owner requests earlier deletion.
  • Self-review prevention. The system prevents a drafter from reviewing or approving their own minutes, enforcing independent review.

9. Data retention & deletion

  • Audio. Raw audio is deleted from our servers and from AssemblyAI immediately after transcription completes. We do not retain audio.
  • Transcripts & minutes. You control retention. You can delete any transcript or minutes document at any time. If you enable auto-delete in your account settings, transcripts and minutes are deleted after 30 days. If auto-delete is off, they remain until you delete them.
  • Chat sessions. You can delete any chat session at any time. We do not retain chat sessions after you delete them.
  • Account deletion. You can delete your entire account and all associated data at any time through the app or by emailing us. Account deletion is permanent and cannot be undone.

10. Intellectual property

The Service, including its design, software, features, and branding, is owned by CosecScribe and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding except as explicitly permitted in writing.

You may not copy, modify, distribute, or create derivative works based on the Service without our written permission. Feedback or suggestions you provide about the Service may be used by us without any obligation to you.

11. Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
  • We do not guarantee that transcripts, summaries, or minutes will be accurate, complete, or suitable for any particular purpose.
  • We do not guarantee that audio files will be successfully transcribed in every case.
  • You use the Service at your own risk. AI-generated content should always be reviewed by a qualified professional before use in any official or legal context.

12. Limitation of liability

To the maximum extent permitted by applicable law:

  • CosecScribe and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • CosecScribe's total liability for any claim arising from or relating to the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim, or £50 (fifty pounds sterling), whichever is greater.
  • We shall not be liable for any loss of data, loss of profit, loss of business, or loss of opportunity arising from your use of or inability to use the Service.
  • We shall not be liable for any actions or omissions of our third-party providers (AssemblyAI, DeepSeek, AWS, payment providers) that affect your use of the Service.

These limitations apply even if CosecScribe has been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.

13. Indemnity

You agree to indemnify and hold harmless CosecScribe and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service or your violation of these Terms.
  • Your Content, including any claim that Your Content infringes the rights of a third party.
  • Your failure to obtain consent from meeting participants before recording or transcribing a meeting.
  • Your reliance on AI-generated transcripts or minutes in any context where such reliance causes harm.

14. Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.
  • If we terminate your account for cause (violation of these Terms), no refund will be provided. If we terminate for reasons unrelated to your conduct, we will provide a pro-rata refund of any prepaid subscription fees.
  • Upon termination, your right to use the Service ends. Your remaining transcripts and minutes will be deleted in accordance with our retention policy, unless you request earlier deletion.
  • Sections that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, indemnity, and governing law) shall remain in effect.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify you via email or in-app notice. Material changes take effect 30 days after the notice. By continuing to use the Service after the effective date, you agree to the updated Terms. If you do not agree, you may cancel your subscription and stop using the Service.

16. Governing law

These Terms are governed by the laws of England and Wales. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, without regard to conflict of law principles.

If you are a consumer in the European Union or the United Kingdom, you may also have rights under your local consumer protection laws, which are not affected by these Terms.
