From minutes to filing: CosecScribe now runs the whole compliance job

The company desk, statutory deadlines with penalty exposure, a board portal with e-signing, filing packs and shared firm books are live for Nigeria and South Africa.

CosecScribe started with one job: turn a board recording into formal minutes. Company secretaries then told us where the rest of their week goes. It goes on the registers, the statutory dates, the chasing of signatures and the filing. So we built for all of it. As of this month, CosecScribe takes a company from the board meeting to the regulator, in Nigeria and in South Africa.

A desk for every company you look after

Add a company by its registration number or by uploading a registry document, and CosecScribe fills in the record for you to confirm: directors, secretary, shareholders, and the persons with significant control or beneficial owners. A practice can import its whole client list in one go.

Each company then shows its standing: what is due, what is overdue and what it would cost in penalties if you filed today.

It tells you first

You no longer have to remember to look. A daily check finds every deadline that is 14, 7, 3 or 1 day away and sends it by email and push notification, with a digest every Monday. When you open the assistant, it starts with what needs attention across your book.

Approved minutes update the record

When you approve a set of minutes, the assistant reads each resolution, whatever your house style, and lists what will change: an appointment, a resignation, an allotment, a new registered office, a change of auditors. You tick what to apply. The registers update and the matching filing pack is prepared.

Documents ready to file

Notices, written resolutions, certified extracts, registers, share certificates and filing packs download as PDF and Word, on your practice's letterhead with your name and membership number.

A board portal that does the chasing

Directors open the portal with their own code to read the pack, vote and sign written resolutions. Each signature is recorded with the name, time and a hash of the document, and the signed PDF carries an audit page. Directors who have not signed are reminded automatically until they do. When you need ownership details or an ID from a client, you send a link and the answers land on the record for you to accept.

Built for firms

On the Enterprise plan a practice shares one book. Partners, secretaries and assistants see the same companies, each company can be assigned to a person, and alerts go to whoever is responsible.

Two countries, one product

The rules are different in each country and the product knows it. In Nigeria it follows CAMA 2020 and CAC practice. In South Africa it follows the Companies Act and CIPC, including close corporations, the beneficial ownership filing that must come before the annual return, and the annual return fee calculation. Plans are priced in naira and in rand.

What has not changed

The AI drafts and proposes. You review, approve and file. Nothing reaches the record or the regulator without a qualified person signing it off.
